License

This Lacspace Proprietary License Agreement (the “Agreement”) is a binding legal contract between you — whether an individual or the entity you represent (“you”, “your” or the “Licensee”) — and Lacspace Corporation Pvt. Ltd. (“Lacspace”, “we”, “us” or the “Licensor”), the company behind Lekhio.

In this Agreement, the “Properties” means, collectively, the Lekhio software and platform, its web application, native mobile applications, application programming interfaces (APIs), documentation, designs, source and object code, user interfaces, databases, trademarks and all related content and materials made available by Lacspace.

By accessing, installing, downloading, or otherwise using any part of the Properties, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not access or use the Properties and must immediately stop and remove any copies in your possession. If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

The Properties are and shall at all times remain the exclusive intellectual property of Lacspace Corporation Pvt. Ltd. and its licensors. All right, title and interest in and to the Properties — including all copyrights, patents, trademarks, trade secrets, design rights, know-how and other intellectual property rights — are owned solely by Lacspace.

The Properties are protected by the copyright, trademark, trade-secret and other laws of India and Nepal, as well as applicable international treaties and conventions. Nothing in this Agreement transfers to you any ownership interest in the Properties or any of Lacspace’s intellectual property.

Under no circumstances is any of the proprietary Lekhio software provided, or to be construed as provided, under the MIT License, the GNU General Public License (GPL), or any other open-source or free-software license. The Properties are closed-source, proprietary software. Any public availability of a component does not waive, diminish or alter Lacspace’s proprietary rights, and no open-source terms shall be implied.

Subject to your continuous compliance with this Agreement and your payment of all applicable fees, Lacspace grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Properties solely for your own internal personal or business operations.

This license is contingent upon and coextensive with your paid subscription (or an expressly authorized free tier). The scope of your use — including the number of users, tenants, workspaces and features — is limited to what your active plan permits.

The Properties are licensed to you, not sold. You receive only the rights expressly granted in this Agreement. All rights not expressly granted are reserved by Lacspace. This license does not grant you any right to the source code of the Properties or to any deliverable beyond the hosted service and applications made available to you.

Except to the limited extent expressly permitted by this Agreement or by applicable law that cannot be contractually waived, you shall not, and shall not permit any third party to:

• use the Properties without a valid license, or beyond the scope of the license granted to you;
• resell, rent, lease, lend, host for others, white-label, sublicense, distribute or otherwise make the Properties available to any third party;
• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms or structure of the Properties;
• modify, adapt, translate or create derivative works of the Properties without the prior written consent of Lacspace;
• remove, obscure or alter any proprietary notices, trademarks, logos, copyright marks or attributions appearing in or on the Properties;
• use the Properties to design, develop, train or build a product or service that competes with Lekhio or Lacspace;
• use the Properties for any unlawful, fraudulent, infringing or otherwise unauthorized purpose, or in violation of any applicable law or regulation.

Any use of the Properties in breach of these restrictions is unlicensed, constitutes infringement of Lacspace’s intellectual property rights, and automatically terminates the rights granted under this Agreement.

Lacspace may make certain features, trials, beta programs, evaluation editions or free tiers of the Properties (collectively, “Free Services”) available to you at no charge. Free Services are provided separately from, and are not part of, the commercial license grant.

Free Services are provided “as-is” and may be limited, modified, suspended or discontinued at any time, with or without notice, and without any liability to Lacspace. Data or configurations created within Free Services may be removed if the Free Service is discontinued or if you fail to convert to a paid plan.

Your use of Free Services grants you no proprietary, ownership or continued-access rights of any kind, and remains fully subject to the restrictions of this Agreement.

This Agreement and the license granted under it terminate automatically, without notice, upon any breach or non-compliance by you with any term of this Agreement. Lacspace may also suspend or terminate your access to the Properties at its sole discretion, including for non-payment, suspected abuse, or where required by law.

Upon termination for any reason, all rights granted to you under this Agreement immediately cease, and you must promptly stop all use of the Properties and permanently destroy or delete all copies of any component of the Properties in your possession or control.

The provisions concerning intellectual property, restrictions, disclaimers, limitation of liability, governing law and any accrued payment obligations survive termination of this Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROPERTIES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

Lacspace Corporation Pvt. Ltd. AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT.

Lacspace DOES NOT WARRANT THAT THE PROPERTIES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU ASSUME THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE PROPERTIES.

To the maximum extent permitted by applicable law, in no event shall Lacspace Corporation Pvt. Ltd. or its directors, officers, employees, affiliates or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Properties or this Agreement, even if advised of the possibility of such damages.

In all cases, the aggregate liability of Lacspace arising out of or relating to this Agreement or the Properties shall not exceed the total amount of fees actually paid by you to Lacspace for the Properties during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory on which the claim is based and form an essential basis of the bargain between you and Lacspace.

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of India and Nepal, without regard to conflict-of-law principles.

The parties irrevocably submit to the exclusive jurisdiction of the courts of Delhi for the resolution of any dispute arising under or in connection with this Agreement. You agree not to bring any action in any other forum.

Lekhio is built for South Asia and beyond. If you access or use the Properties from outside India or Nepal, you are solely responsible for compliance with all local laws, regulations and requirements applicable to your use, including data-protection and tax laws in your jurisdiction.

The Properties may be subject to applicable export-control and sanctions laws. You represent that you are not located in, and will not use or export the Properties in violation of, any such laws, and that you are not on any restricted-party or denied-party list.
