Terms of Use

These Terms of Use (the “Terms”) form a binding agreement between you and Lacspace Corporation Pvt. Ltd. (“Lacspace”, “we”, “us” or “our”), the company that owns and operates Lekhio (the “Service”). By creating an account, accessing the marketing site, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy.

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to both you and that organization. If you do not agree to these Terms, you must not access or use the Service.

• “Account” means the registered account through which you access the Service.
• “Tenant” or “Organization” means the isolated workspace provisioned for a single business entity within the Service.
• “Customer Data” means all data, records, files and content that you or your users submit to, store in, or generate through the Service, including business, CRM, invoicing, inventory and finance records.
• “Users” means the individuals you authorize to access the Service under your Account, such as employees, contractors and agents.
• “Subscription” means the plan you select and the associated entitlements, whether free or paid.

To use the Service you must be at least 18 years old and capable of forming a legally binding contract. The Service is intended for business and professional use, not for personal or household purposes.

Accurate information

When you register, you agree to provide accurate, current and complete information and to keep it up to date. Providing false or misleading information may result in suspension or termination of your Account.

Credential security

You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. You must keep passwords, one-time codes and API keys confidential and notify us promptly at support@lacspace.com of any unauthorized use or suspected security breach.

One organization per tenant

Each Tenant is provisioned for a single organization. You must not use one Tenant to operate multiple unrelated legal entities, and you must not share Tenant access outside your authorized Users. We may require separate Subscriptions for separate organizations.

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to:

• Use the Service for any unlawful, fraudulent, infringing or abusive purpose, or in violation of applicable laws in India, Nepal or any jurisdiction where you operate.
• Upload malware, attempt to gain unauthorized access to the Service or other tenants, or probe, scan or test the vulnerability of our systems without written permission.
• Reverse engineer, decompile, resell, sublicense or create derivative works from the Service except as expressly permitted by law.
• Overload, interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests.

We may investigate suspected violations and take appropriate action, including removing content and suspending offending Accounts.

Lekhio offers a free Starter plan and one or more paid plans. Current features and prices are described on our pricing page. We may update prices and plan entitlements from time to time; changes to recurring fees will apply from your next renewal.

Fees and taxes

Paid Subscriptions are billed in advance on the cadence shown at checkout (for example, monthly or annually). Unless stated otherwise, fees are exclusive of taxes, duties and levies (including GST/VAT in India and Nepal), which you are responsible for paying.

Renewals and cancellation

Paid Subscriptions renew automatically for successive terms unless you cancel before the end of the current term. You may manage or cancel your Subscription from your Account. Refunds, where available, are governed by our Refund & Cancellation Policy.

Non-payment

If a payment fails or is overdue, we may downgrade your Account to the free plan, or suspend access until outstanding amounts are settled.

As between you and us, you own all Customer Data. We do not claim ownership of the business records, contacts, invoices, inventory or other content you store in the Service.

You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display and back up Customer Data solely to provide, secure, maintain and improve the Service, and as otherwise instructed by you. Our handling of personal data is described in our Privacy Policy.

You are responsible for the accuracy, quality and legality of Customer Data and for ensuring you have the rights and consents necessary to submit it to the Service. You should maintain your own backups of critical data.

The Service, including the Lekhio software, user interface, designs, logos, documentation and underlying technology, is owned by Lacspace Corporation Pvt. Ltd. and its licensors, and is protected by copyright, trademark and other intellectual property laws. All rights not expressly granted to you are reserved.

Subject to these Terms and your payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, as further described in our License. You may not use our trademarks or branding without our prior written consent.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service without obligation to you.

The Service may let you connect to third-party products and services, including through API keys, webhooks and integrations you configure. Your use of any third-party service is governed by that provider’s own terms and privacy practices, and we are not responsible for third-party services.

You are responsible for keeping API keys and webhook secrets confidential, for the actions taken through credentials you issue, and for ensuring any data shared with third parties complies with applicable law. We may impose reasonable rate limits and technical requirements on API and webhook usage.

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Access may be affected by maintenance, updates, or factors beyond our control. Where practical, we will give advance notice of planned maintenance that is likely to cause significant disruption.

We continuously develop the Service and may add, modify, or discontinue features. If we make a material adverse change to a paid feature you rely on, we will use reasonable efforts to notify you.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that data will never be lost.

To the maximum extent permitted by applicable law, Lacspace and its officers, employees, affiliates and licensors will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or related to your use of the Service.

Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100 (or its equivalent). Nothing in these Terms limits liability that cannot be excluded under applicable law.

You may stop using the Service and close your Account at any time. We may suspend or terminate your access, in whole or in part, if you materially breach these Terms, fail to pay fees when due, use the Service in a way that poses a security or legal risk, or where required by law.

Upon termination, your right to access the Service ends. We will, for a limited period and where technically feasible, make Customer Data available for export before deleting or anonymizing it in accordance with our retention practices. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability and governing law) will survive.

Lacspace Corporation Pvt. Ltd. is registered in India and Nepal, with head offices in Kathmandu (Nepal) and Nagpur (Maharashtra, India). These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of India and Nepal, without regard to conflict-of-laws principles.

Subject to any mandatory local law that applies to you, the courts located in Delhi, India will have exclusive jurisdiction over disputes, and you consent to their jurisdiction and venue. Where you are established in Nepal, the competent courts of Kathmandu may also have jurisdiction. We each agree to attempt to resolve disputes informally by contacting the other party before commencing formal proceedings.

We may update these Terms from time to time to reflect changes to the Service, our business, or legal requirements. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice (for example, by email or an in-product message). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
